Capital Markets Updates
- Pursuant to the Weekly Bulletin of the Capital Markets Board, the Board has approved the prospectus of Hedef Girisim Sermayesi Yatirim Ortakligi with regards to its share capital increase in the amount of TL 140 million. Accordingly, such capital increase will be realized through rights issues. It has been further stated that the share capital of the Company will reach TL 210 million as a result of such capital increase. Moreover, the newly issued shares are planned to be offered to public.
- According to the Weekly Bulletin of the Capital Markets Board, the Board has approved the prospectus of Dogtas Kelebek Mobilya Sanayi ve Ticaret with regards to its share capital increase in the amount of TL 80,930,233. Accordingly, such capital increase will be realized through rights issues. It has been further stated that the share capital of the Company will reach TL 350 million as a result of such capital increase. Moreover, the newly issued shares are planned to be offered to public.
- In line with the Weekly Bulletin of the Capital Markets Board, the Board has approved the issuance certificates of Halk Yatirim Menkul Degerler and Pegasus Hava Tasimaciligi for the issuance of bonds/financial bills with the nominal issuance ceilings of TL 900 million and TL 2.5 billion, respectively. It has been further stated that such debt instruments are planned to be sold to qualified investors.
- Pursuant to the announcement made by Turkiye Is Bankasi on the Public Disclosure Platform, the Bank has decided to authorize its general directorate until the end of 2021 to purchase certain shares of Turkiye Sise ve Cam Fabrikalari, Turkiye Sinai Kalkinma Bankasi, Anadolu Hayat Emeklilik, Is Finansal Kiralama, Is Gayrimenkul Yatirim Ortakligi and Is Yatirim Menkul Degerler, which all are subsidiaries of the Bank and traded on the Istanbul Stock Exchange. Moreover, the maximum total amount to be paid for such purchases has been determined as TL 500 million without a company specific purchase amount restriction.
- According to the announcement made by Zorlu Holding on the Public Disclosure Platform, the Company has decided to sell its shares in Vestel Elektronik Sanayi ve Ticaret with a nominal value of TL 1.5 million as of 29 December 2020. It has been further stated that, as a result of such transaction, the shares and voting rights of the Company in Vestel Elektronik Sanayi ve Ticaret is decreased to 66.51%.
- As per the announcement made by Hektas Ticaret, one of the OYAK agriculture and livestock breeding companies, on the Public Disclosure Platform, the Company has decided to acquire the shares of OYAK Biyoteknoloji Sanayi ve Ticaret corresponding to the entire share capital in Arma Ilac Sanayi ve Ticaret, a Turkish company operating in veterinary pharmaceuticals sector, and the shares of OYAK Sermaye Yatirimlari corresponding to 51% of the share capital in Agriventis Technologies Pty Ltd, an Australian venture capital company active in seed sector, in the board of directors meeting held on 29 December 2020. It has been further stated that, with such acquisitions, the Company aims to grow in the veterinary pharmaceuticals and seed business lines. Moreover, the Company has decided to increase its share capital from TL 227,571,100 to TL 860 million.
- In line with the announcement made by Vestel Elektronik Sanayi ve Ticaret on the Public Disclosure Platform, the Company has decided to merge Vestel Holland B.V. and Vestel Benelux B.V., which are indirect subsidiaries of the Company, under the title of Vestel Holland B.V. It has been further stated that such merger transaction has been registered as of 31 December 2020. Moreover, the Company aims for operational efficiency and a simplified corporate structure.

- In line with the announcement made in the official website of the Competition Authority, an application has been made to the Competition Board for the takeover of the sole control of Cigli Su Teknolojileri by Ebara Corporation.
- As per the announcement made in the official website of the Competition Authority, an application has been made to the Competition Board for the takeover of the entire issued share capitals of Aegon Hungary Holding B.V., Aegon Hungary Holding II B.V., Aegon Poland/Romania Holding B.V. and Aegon Turkey Holding B.V. by Vienna Insurance Group AG Wiener Versicherung Gruppe.
- According to the announcement made in the official website of the Competition Authority, an application has been made to the Competition Board for the takeover of the sole control of the resins and functional materials business line of Koninklijke DSM N.V., including coating operations of DSM Niaga®, DSM Additive Manufacturing and DSM Advanced Solar, by Covestro AG.
Energy Sector News
- Pursuant to the dailies, Renesco, a Turkish energy company, has established a biogas plant in Karesi, Balikesir with a TL 30 million investment. It has been further stated that such plant, which will start electricity production with a target of 30 MW per day as of 1 January 2021, is planned to produce 10,900 MW electricity annually and meet the electricity needs of a thousand households. Moreover, 15,000 tons of organomineral fertilizers will annually be made available to farmers by the Company.

- As per the dailies, a partnership agreement has been executed by and between Ekin Smart City Solutions, a Turkish company active in traffic and public safety management sector, and Recon Power Bikes, official bike supplier of US Federal Bureau of Investigation (FBI). Within the scope of such partnership agreement, the sale of artificial intelligence based and patented smart police patrols, Ekin Patrol and Ekin Bike Patrol, and smart traffic management solutions as well as portable license plate recognition and speed detection systems developed by Ekin Smart City Solutions will be sold in the United Stated by Recon Power Bikes and presented to the experience of the police.
- In line with the dailies, an agreement has been executed by and between Zorlu Tekstil and Disney with regards to production, sales and marketing of Disney Home branded home textile products. With such agreement, Zorlu Tekstil has obtained the right to product, sell and market Disney Home branded licensed home textile products in 19 regions and 80 countries, including Germany, France, Italy, United Kingdom, Spain, Russia and South Africa.
- According to the dailies, Daimler AG, Germany based parent company of Mercedes-Benz and the world’s biggest manufacturer of commercial vehicles and premium cars, will establish Daimler Mobility Global Tech-Hub, which is its first software development center, in Turkey. Accordingly, such software development base is planned to be established in 2021 and to provide end-to-end software support in financial services, banking and insurance.
